Detailed Sell Sheet

Scott Feddes located at 15 Clinton Lane, Belgrade, MT 59714 (hereinafter referred to as SELLER) will conveyed to ___________________ Located at ____________ (hereinafter referred to as NEW OWNER) everything that is listed in this document as a result of the NEW OWNERS purchase of the Crap Strap Business. This document will be signed by both the SELLER and the NEW OWNER. The document will be binding when payment is received in full.

Items included:

1. United States Registered Trademark: CRAP STRAP - The trademark will be assigned to the new owner. This allows the owner of the trademark to use the R in a circle symbol to build a brand. Because this is a registered trademark, no one else can use the name in the same product line. For Example: TANGLE TAMER is both a registered trademark in the Hair Products Industry and also in the Fishing Industry. The CRAP STRAP trademark ownership is good until 2021.

1. The domain [link removed by ] - This domain is registered with GoDaddy and would be transferred to the new owner after the sale. This domain is scheduled to be renewed on 12/2/15. PLEASE NOTE: This is not the website; it is only the domain address. You will need to make your own website which can be done through GoDaddy. Item 5 will supply most of the needed images to build the website. GoDaddy is recommend to build a website, shopping cart and credit card processing. They have great tech support and even if you don’t know how to build a website, they can walk you through every step of the way.

1. Facebook Page: The Crap Strap Facebook page has been a great way to connect with the customers of the Crap Strap. It has over 1,300 Likes and has been a great way to drive customers to the website. The new owner will be added as an Admin on the Crap Strap Facebook Page. The current owner will be removed making the new owner the sole Admin on the page.

1. Heat Press Machine - This machine is used to put the warning label and the Crap Strap logo onto the bag. It is a Stahls MAXX11 with a 11”X15” Pad plus three extra pads: 1 - 6”X10”, 1 - 8”X10” and a 7” diameter circle plate. This machine can also do transfers on t-shirts and other fabric items.

1. All Digital Images and Movies - The new owner will receive a USB flash drive that will contain images that can be used to build a website, marketing materials and Facebook posts. There are many images saved in different resolutions for different applications. This will also contain the Crap Strap Logo. The file for the hanger booklet will be included plus a video clip movie of the Crap Strap. Also include is a retail label design that the bag would hang from.

1. Instructional Video and pattern - This isn’t Hollywood, but we’ve made an instructional video on how to cut, heat transfer, sew and assemble the Crap Strap. This video will have tips and tricks to make a professional looking product right from the start. The new owner will be getting all the materials needed to make a few Crap Straps. By having the same materials as in the video - it will be easy to follow and start making them yourself. Video will be supplied within 2 weeks from the date when payment is made in full.

1. Digitized Logo - Customize the Crap Strap with someone’s name! The logo has been digitized to allow for it to be embroidered on to the bag or a hat. This image doesn’t have “The Original” on it so you can add “Bob’s” above Crap Strap to give your customers a one of a kind product. It is a .PES file format so you will need an embroidery machine or someone who has a machine that works with a .PES file.

1. Supplies - You will receive everything you need to build a few Crap Straps and there will be enough of some supplies to build a lot more. Here is a detailed list of all the supplies that are included. Buckles, Fabric, Fuzzy Fabric, Strapping, String, Balls, Booklets, Warning Labels, Large Crap Strap Logo Transfers, Small Crap Strap Logo Transfers, Clear Plastic Bags, Tape to Seal Bags, Tape Dispenser.

1. T-Shirt Warning Labels - These funny Crap Strap T-Shirt Warning labels are a great way to increase sales. There are warning labels such as “Watch Your Step: I just wrapped the strap” or “Caution: When in use, laughter may occur” These make great give away prizes on Facebook.

1. Contact for Wholesale Supplies - You will receive the contact information for my supplier of the buckles, strapping and tie balls. Also the contact info will be supplied for all the other items used.

1. Contact for overseas production - If you don’t want to sew or can’t find someone to help sew, this a way to get them made. It is not easy to find a overseas supplier that will make anything less than a container load of any product (A contain load is approx. 50,000 Crap Straps, now that is a lot of pooping!). The new owner would receive the contact information for a US based company to manufacture the Crap Strap overseas. This company will produce a minimum order of 2,000 Crap Straps in two colors that are retail shelf ready. They will have them shipped to one of their 3 locations in the US. The new owner will receive fabric samples from this company.

1. Non-Compete Agreement - SELLER agrees to not introduce, manufacture or sell any products relating to or in the toiletry category for 5 years.

1. SELLER expressly disclaims any and all implied or express warranties and make no express or implied warranties of merchantability or fitness for any particular purpose of the product, or any product or process derived therefrom, or any product process covered under this document. SELLER makes no warranty or representation as to the validity or scope of the product or that the product will not infringe patents of third parties, or that no third parties are infringing.
   
   

2. Patent and Trademark Infringement - One Patent Owner has claimed that the Crap Strap Design was infringing on their granted patent. My patent lawyer wrote a letter to the holder and no more has come of this claim. I have also had to send a letter to an individual that was infringing on my trademark, to the best of their ability, they have minimized their infringement. Please seek legal advice before offerding.

1. The NEW OWNER is buying all assets and liabilities - All assets being purchased are listed in this document. The business does not have any debt, so an example of the liabilities would be product warranty (which no warranty has ever been given for past sales) or liabilities on the design. A warning label has been attached to every Crap Strap ever sold.

1. NO ROYALTIES - There will be no royalty fees associated with this transaction. This means the current owner will not be owed any compensation on future sales.

There are no warranties expressed or implied with the purchase. Owning your own business has risks, by signing this you are accepting those risks.
